If any portion of your submissions is determined not to qualify as a “work made for hire” under Section 101 of the Copyright Act, as amended, you hereby irrevocably assign, transfer, and convey to Jackson Hole Net, Inc. dba AllTrips all proprietary rights, including, but not limited to, copyrights and trademarks, in all media, whether existing now or developed in the future, throughout the universe, in perpetuity, without the need for additional compensation.

Furthermore, any material you post that reproduces works created by you prior to submission shall be considered co-owned by you and Jackson Hole Net, Inc. dba AllTrips.

You acknowledge that Jackson Hole Net, Inc. dba AllTrips retains the right, but not the obligation, to use and display any postings or contributions you provide in any form. Additionally, Jackson Hole Net, Inc. dba AllTrips reserves the right to discontinue the use or display of any such materials, in whole or in part, at any time and for any reason, at its sole discretion.

Limitations on Linking and Framing

You are permitted to create a hyperlink to the Site, provided that the link does not suggest or imply any endorsement or sponsorship of your site by us or the Site. License to Programs and Services

You acknowledge that the Site features a platform incorporating an algorithm and processes similar to a software application (the “Application”). This Application is provided to you under a license and is not sold, by Jackson Hole Net, Inc. dba AllTrips.

License Grant

Jackson Hole Net, Inc. dba AllTrips grants you a revocable, non-exclusive, non-transferable, and limited license to install and use the Application on a single device that you own and control. You may access and use the Application on this device solely in compliance with the terms and conditions of this license, the Terms of Service, Privacy Policy, and any service agreements associated with your device (collectively referred to as “Related Agreements”).

(f) install, use, or permit the Application to exist on more than one device simultaneously or on any device other than the one authorized for use;

(g) distribute the Application across multiple devices;

(h) make the Application available over a network or other environment that enables access or use by multiple devices or users simultaneously;

(i) use the Application to create a product, service, or software that is directly or indirectly competitive with, or serves as a substitute for, any product, service, or software offered by Jackson Hole Net, Inc. dba AllTrips;

(j) use the Application to send automated queries to any website or distribute unsolicited commercial emails; or

(k) utilize any proprietary information, interfaces, or other intellectual property of Jackson Hole Net, Inc. dba AllTrips in the development, licensing, manufacture, or distribution of any applications, accessories, or devices intended for use with the Application.

Rights to Application

You acknowledge and agree that the Application, along with all copyrights, patents, trademarks, trade secrets, and other intellectual property rights associated with it, is and will remain the property of Jackson Hole Net, Inc. dba AllTrips. Additionally, you recognize and agree that the source code, object code, format, directories, queries, algorithms, structure, and organization of the Application are proprietary, confidential, and constitute the intellectual property of Jackson Hole Net, Inc. dba AllTrips and its affiliates, licensors, and suppliers.

Except as explicitly stated in this license, no intellectual property rights in or to the Application are granted to you by implication, estoppel, or any other legal theory. All rights to the Application not expressly granted under this license are reserved and retained by Jackson Hole Net, Inc. dba AllTrips.

Consent to Use Information

You hereby grant authorization and consent for Jackson Hole Net, Inc. dba AllTrips, along with its affiliates, partners, and agents, to collect, store, and use any information or data related to or derived from your use of the Application, as well as any information or data you provide to Jackson Hole Net, Inc. dba AllTrips and its affiliates, partners, and licensors (referred to as “Information”).

However, all rights and obligations under this Agreement may be freely assigned by Jackson Hole Net, Inc. dba AllTrips to any affiliated entity or wholly owned subsidiary.

Dispute Resolution

These Terms of Use are governed by and interpreted in accordance with the laws of the State of California. Any disputes arising under or related to these Terms shall be resolved through binding arbitration in Los Angeles, California.

If any provision of this agreement is found to be unlawful, void, or unenforceable for any reason, that provision will be deemed severable from the agreement and will not affect the validity or enforceability of the remaining provisions.

Class Action Waiver

You agree to resolve any disputes with us solely on an individual basis. You may not file a claim as a plaintiff or participate as a member of a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and the consolidation of arbitrations are strictly prohibited.

The arbitrator handling your dispute is not permitted to consolidate claims involving more than one individual or to preside over any class or representative proceedings, such as class actions, consolidated actions, or private attorney general actions, unless all relevant parties explicitly agree to such proceedings after the arbitration has been initiated.

Severability
